Living in Portugal: Is a UK LTD Still the Right Choice?

The NHR golden age is over, but Portugal remains a major expat destination. What a UK LTD actually delivers for a Portuguese resident today, regime by regime, with no dream-selling.

Key takeaways

  • Portugal is no longer the automatic tax haven it once was: the legacy NHR regime is closed to newcomers, replaced by a more restrictive scheme reserved for specific profiles.
  • Your tax treatment therefore depends entirely on your regime: legacy NHR holder, eligible for the new scheme, or standard-regime resident with foreign dividends taxed around 28%.
  • The UK LTD remains relevant for a Portuguese resident, but for reasons other than 0%: credibility, costs, remuneration flexibility and the tax treaty articulation.
  • For some profiles the real question is not the structure but the residence: the full calculation also compares Portugal with other destinations.
  • The honest conclusion: in Portugal, 0% is not promised, it is verified regime by regime. And when it is not available, we say so.

Portugal has changed: start from the facts

For a decade, the Non-Habitual Resident (NHR) regime made Portugal the magnet of European expats, with broad exemptions on foreign income. That regime closed to new entrants in 2024: those who obtained it keep their rights for the remaining period, but a newcomer falls either under the replacement scheme, refocused on certain qualified activities (research, innovation, certain scientific and technical profiles), or under Portugal's standard regime. And under the standard regime, foreign dividends are taxed around 28%.

Any promise of "0% in Portugal" that does not start with the question "what is your regime?" is, at best, out of date.

What the UK LTD delivers, regime by regime

You hold legacy NHR: depending on the remaining years and the nature of your income, the treatment of foreign dividends can remain very favourable. The LTD + NHR articulation is calculated precisely, especially on income qualification and treaty application: properly structured, it remains one of Europe's most efficient configurations.

You are eligible for the new scheme: exemptions are more targeted. Depending on your activity, the LTD can articulate usefully with it, but the answer is genuinely case by case: legislation work, not forum work.

You are under the standard regime: your LTD dividends will be taxed in Portugal around 28%. The LTD then keeps real non-tax advantages (international credibility, costs, banking, flexibility), and the UK company layer at 19-25% remains competitive against a local structure, but the personal 0% is not on the table. We would rather tell you that clearly than sell an illusion.

The calculation worth doing: structure AND residence

For a mobile entrepreneur, real optimisation compares two variables, not one: the structure (LTD or other) and the residence (Portugal or elsewhere). At equal activity, the same profile can go from ~45% total burden (France), to ~28% on dividends (standard Portugal), to a total limited to the UK company layer (UAE, depending on profile). Portugal also offers quality of life and European accessibility that many value beyond tax: it is a global trade-off, and exactly what the strategy call is for.

A worked example

A freelance developer in Lisbon, €90,000 of profit through her LTD. Under the standard regime: around 19% UK Corporation Tax, then ~28% Portuguese tax on distributed dividends, a total burden of roughly 42% on what she pays herself, to be compared with local alternatives and Portuguese statuses depending on her case. With legacy NHR still active and adapted structuring, the same calculation can change completely. Two neighbours, two opposite answers: in Portugal more than anywhere, the regime is everything.

Portugal-specific pitfalls

  • Believing NHR can still be applied for: the transitional windows have closed; verify your actual rights before structuring.
  • Neglecting effective management: an LTD steered from Portugal can be attached there at company level. How management is structured matters.
  • Copying a pre-2024 scheme: most online content about "LTD + Portugal" describes a world that no longer exists.
  • Forgetting reporting duties: Portugal requires foreign income and accounts to be declared, even when exempt.

Frequently asked questions

Is 0% possible in Portugal today?

For a newcomer under the standard regime, no: foreign dividends are taxed. For some legacy NHR holders or new-scheme beneficiaries, very favourable treatment remains possible depending on the nature of the income: an individual verification, legislation in hand.

Is the LTD still worth it at 28%?

Often yes, for non-tax reasons: credible international invoicing, low structure costs, smooth banking, flexible distribution timing. But we price it with you against the Portuguese alternatives rather than asserting it wholesale.

I am leaving Portugal soon: when should I distribute?

After the change of residence is effective, in most cases: the distribution calendar aligns with the mobility calendar. A key point of the tax session.

Next step

In Portugal, the right answer depends on your regime more than on the structure. On one call, we identify your exact situation and give you the full calculation, including when the honest answer is that 0% is not available to you.
